Creating a commercial lease in New South Wales (NSW) requires balancing negotiated contract law with strict property title registration requirements.

Lease Registration (Torrens Title)

One of the most critical aspects of commercial leasing in NSW is the legal requirement to register long-term leases on the property's actual title deed with NSW Land Registry Services (LRS).

Under the Real Property Act 1900, any commercial or retail lease with a term exceeding three (3) years (including any option periods) should be formally registered on the title.

Why is registration important? If a landlord sells the commercial building, or if a bank forecloses on the landlord, an unregistered lease exceeding three years may not automatically bind the new owner. Registering the lease provides the tenant with an "indefeasible" registered interest in the land, protecting their business location.

Generally, the cost of registering the lease (and any surveyor plans required to define the exact lettable area) is negotiated between the landlord and tenant, though retail legislation can specifically heavily restrict landlords passing on lease preparation costs.

Retail Lease Mandatory Documents

If the lease is classified as a Retail Shop under the Retail Leases Act 1994, landlords must hurdle several administrative requirements before signing:

  1. The NSW Retail Tenant's Guide: A landlord must provide a prospective tenant with a complete, up-to-date printed or electronic copy of the NSW Retail Tenant's Guide as soon as negotiations begin.
  2. Draft Lease: A draft copy of the proposed lease must be provided alongside the Required Disclosure Statements at least 7 days before signing.
  3. Registration Mandate: For retail leases exceeding 3 years, the landlord must automatically lodge the lease for registration at LRS within 3 months of it being returned signed by the tenant.

Lease Preparation Costs

General Commercial Leases: Landlords classically require the incoming commercial tenant to pay the landlord's legal fees for drafting and negotiating the lease.

Retail Leases: The Retail Leases Act specifically prohibits landlords from passing their legal costs for preparing the lease onto the retail tenant. The landlord must absorb these costs as a cost of doing business. The only exception is that the landlord can pass on the exact out-of-pocket government fee for registering the lease with LRS.

Tracking Expiries and Options

Commercial leases live and die by their Option to Renew dates. A tenant usually must exercise their option 3 to 6 months before the lease expires. If they miss the window by a single day, the landlord can legally refuse the renewal and market the property to a higher-paying tenant.

Conversely, landlords need to know exactly when an option notice is expected so they can initiate the market rent review process. Landager tracks all your commercial option windows on a central dashboard, ensuring you never miss a critical negotiation date.
