In the Hungarian commercial real estate market, standard residential cash deposits are viewed as dangerously inadequate. The Standard: The Bank Guarantee (Bankgarancia)
The absolute gold standard for securing a commercial lease in Hungary is an Irrevocable, First-Demand Bank Guarantee (Visszavonhatatlan, első felszólításra fizető bankgarancia).
If a corporate tenant wishes to lease Class A office space, logistics warehousing, or premium retail locations, they must have their financial institution issue this document directly to the landlord.
How the Guarantee Works
The Bank Guarantee functions independently of the lease agreement itself. It is a promise from the tenant's bank that they will immediately pay the landlord a specified sum if the landlord simply claims the tenant has defaulted.
- "First Demand" Clause: The landlord does not need to prove the tenant's breach in a court of law. They simply present a written demand to the bank stating the tenant failed to pay rent, and the bank must legally release the funds within a few business days (usually 5 to 8 days).
- Prohibiting Injunctions: The tenant generally cannot stop the bank from paying the landlord by filing an injunction or contesting the debt. They must argue about the validity of the deduction after the landlord has secured the money.
Duration and Expiration Risks
Bank Guarantees are rarely issued for the entire 5-year duration of a lease. Banks usually issue them in 1-year increments, requiring the tenant to renew them annually. This creates a massive administrative risk for landlords. If a tenant's guarantee expires and they fail to renew it, the landlord is left completely unsecured. Consequently, commercial leases contain strict clauses stating that failing to renew the guarantee at least 30 days before its expiration allows the landlord to immediately draw down the entire guarantee amount in cash and hold it, or terminate the lease entirely.
Security Amount Calculation
Commercial deposits are significantly larger than residential ones. A standard Hungarian commercial security instrument must cover:
- Base Rent: Usually 3 to 6 months of the Base Rent.
- Service Charges: 3 to 6 months of the estimated Service Charges (Üzemeltetési Díj).
- VAT (ÁFA): Because commercial leases often include 27% VAT, the guarantee must be inflated to cover the gross amount, ensuring the landlord doesn't have to pay the tax penalty out of pocket when drawing on the funds.
For heavily customized spaces where the landlord paid substantial Fit-Out Contributions (bérbeadói hozzájárulás) to build walls and install specific infrastructure, the guarantee may be inflated to 6, 9, or even 12 months' gross rent to protect against the tenant folding before the fit-out cost is amortized over the lease term.
Cash Deposits (Óvadék) and "Top-Ups"
For smaller commercial spaces (B-class offices, street-level independent shops), landlords may still accept cash security deposits, legally known as Óvadék.
Under the Civil Code, a commercial landlord can draw from the Óvadék immediately upon a breach of contract (unpaid rent, damages). However, the lease will strictly mandate a Top-Up Clause (Feltöltési kötelezettség).
If the landlord withdraws €5,000 from the deposit to cover two months of unpaid service charges, the tenant receives a formal notice that they must transfer €5,000 back into the deposit account within 8 to 15 days, restoring the security to its original 3-month maximum. Failure to top-up the account is considered a fundamental breach, leading to immediate eviction.
Corporate Parent Guarantees (Kezesség)
When a multinational corporation (e.g., an American tech firm or a German automotive supplier) establishes a Hungarian subsidiary (Kft. or Zrt.) to sign a lease in Budapest, the local Hungarian entity often has zero actual assets or credit history.
To bridge this risk gap without freezing massive amounts of capital in a bank guarantee, landlords demand a Corporate Parent Guarantee (Anyavállalati Kezességvárllalás). The immensely wealthy foreign parent company signs a legally binding guarantee promising to cover all lease obligations, rent arrears, and damages if their Hungarian subsidiary defaults or enters insolvency.
