In the Kuwaiti commercial sector, one cannot rely on a standard residential contract, because a commercial contract is a needed document for the commercial tenant. It is required to establish a company, import goods, or open a labor residence file. It must possess obligating needed characteristics with the Kuwaiti investor.

The Key Condition: Contract Documentation and Automation
For the owner of an office tower or complex to lease a unit to a company, both parties must adhere to documentation:
- The Municipality and Rent Portal: Every commercial contract must have a printed "Maintenance Card" and a "Civil ID for the Property/Automated Number" to enable registration with government entities.
- Administrative/Commercial Contracts (Kuwait Municipality): If the property's building permit specifies its use as "Investment Residential," it is not permissible to issue a license for commercial activities like offices or grocers. This common mistake embroils the landlord in problems of refunding advance payments.
required Pillars and Clauses in Commercial Contracts
There are areas in drafting the contract that a Kuwaiti landlord must focus on to protect their project:
1. Permitted Use Clause
This relates to using more than just the premises. The contract must state, "The tenant is permitted to invest the unit as a branch for (a travel and tourism agency)." If the tenant later plans to open a car showroom, this breaches the contract and gives the landlord the right to immediate eviction.
2. Free Fit-out Period (Grace Period)
Major complexes hand over the shop in a (Shell and Core) state. A conditional free grace period is added (e.g., 60 days from the signing day) without rent, during which the tenant performs the approved decoration works, explicitly noting its nature.
3. Subletting or Franchise Clause
If a parent company rents the property, the contract must regulate the company's right to open a branch under a commercial trademark, provided they authorize the landlord to license it with the Kuwait Municipality. This shouldn't be deemed illegal subletting.
4. Yield-Up / Make Good
All decorations built by the owner of a restaurant in a Kuwaiti mall do not revert to the landlord unless the contract stipulates otherwise:
- Is the tenant obligated to remove the decor and deliver it in a "Core & Shell" state? Or are they forced to keep it for the landlord without compensation? This must be explicitly agreed upon to avoid falling under the "Unjust Enrichment" rules.
With Landager software, the Kuwaiti landlord can effortlessly insert these sensitive clauses and integrate them into their tenants' contracts with a single click, ensuring protection from legal gaps.
