Commercial leases in Malta are primarily governed by the Civil Code (Cap. 16). Unlike residential rentals, commercial agreements enjoy a high degree of freedom of contract, allowing parties to negotiate most terms freely.

The Legal Framework

The Private Residential Leases Act (Cap 604) does not apply to commercial properties. Instead, the relationship is defined by the contract and the general provisions of the Civil Code regarding the "Letting of Things."

Freedom of Contract

In a commercial context, landlords and tenants can freely agree on:

  • Duration: There is no mandatory 1-year minimum.
  • Rent Increases: No 5% cap; increases are purely contractual.
  • Termination: Notice periods are governed by the contract rather than strict statutory windows.

Dispute Resolution

Despite the freedom of contract, the Rent Regulation Board (RRB) remains the specialized tribunal for commercial lease disputes, including evictions and disagreements over lease interpretations.

Registration Exemption

Unlike the strict registration requirements imposed on private residential leases by the Housing Authority, commercial contracts in Malta are generally exempt from this centralized registration. However, any commercial lease exceeding a duration of fifteen years must be officially enrolled in the Public Registry under the provisions of the Civil Code (Cap. 16) to ensure its opposability against third parties and prospective buyers. This ensures long-term business security and clarity.
