Governed primarily by the Romanian Civil Code (Art. 1777-1835) and Law No. 114/1996, a watertight lease agreement (Contract de Închiriere) is the lifeblood of a profitable Romanian rental investment. Because the Romanian Civil Code grants significant "freedom of contract" (libertatea contractuală), a poorly drafted lease leaves the landlord exposed. Conversely, a properly registered lease provides specific landlord protections via the "Enforceable Title" mechanism.

The Written Requirement and Mandatory Registration

While Romanian law technically recognizes verbal lease agreements, they are insufficient for legal compliance and enforcement. For individual landlords, registering the lease agreement with the National Agency for Fiscal Administration (ANAF) is a mandatory legal obligation under Ordinance No. 16/2022 and OUG 128/2024. Registration must occur within 30 days of signing or any subsequent modification.

To be fully binding and capable of acting as an Enforceable Title, the lease MUST be in writing (înscris sub semnătură privată).

The Two Tiers of Binding Leases:

  1. Private Signature with ANAF Registration: A standard written contract signed by both parties. Individual landlords are legally required to register this document with ANAF. Once registered, the lease constitutes an Enforceable Title (Titlu Executoriu) for the collection of rent (Art. 1798 CC).
  2. Notarial Deed: The landlord and tenant sign the lease in front of a Public Notary (Notar Public). A notarized lease also acts as an Enforceable Title for rent collection and for vacating the property upon the expiry of the term, without needing separate ANAF validation for these specific enforcement purposes.

Fixed-Term vs. Indefinite Leases

The vast majority of Romanian residential landlords utilize Fixed-Term Leases (Contracte pe Durată Determinată), most commonly set for 1 year (12 luni).

The Fixed-Term Lease and Tenant Termination

A fixed-term provides stability, but landlords must respect mandatory tenant rights. Under Art. 1825 of the Civil Code:

  • The tenant has a mandatory legal right to unilaterally terminate the contract at any time by providing at least 60 days' written notice.
  • Any contractual clause that attempts to restrict, waive, or penalize this right (such as forfeiting the security deposit solely for early termination) is considered "unwritten" and is null and void.
  • When the fixed term expires, the lease acts as an Enforceable Title for the obligation to vacate the property (Art. 1809 CC). The landlord faces no requirement to justify why they want the tenant to leave at the end of the term.

The Notice Periods for Indefinite Leases (Pe Durată Nedeterminată)

An indefinite lease rolls over until terminated by notice. To terminate an indefinite lease where rent is paid monthly, the Civil Code (Art. 1824) requires a minimum 60-day notice period. For the obligation to vacate, the lease only becomes an Enforceable Title upon the expiry of this legal notice period (Art. 1816 CC).

Mandatory Elements and Identification

A legally compliant Romanian lease must explicitly identify the following to satisfy the Civil Code and ANAF registration requirements:

  1. The Contracting Parties (Părțile Contractante): The full legal names, dates of birth, National Identification Numbers (CNP), and the exact details of the ID cards of every adult tenant.
  2. The Leased Property (Obiectul Contractului): The exact postal address and, ideally, the property's Land Registry Number (Număr Cadastral) to link the contract to the landlord's legal title.
  3. The Rent and Payment Details (Prețul Închirierii): The exact monthly rent amount, the due date, and the method of payment. A registered lease serves as an Enforceable Title for these amounts (Art. 1798 CC).
  4. Utility Apportionment (Cheltuieli de Întreținere): The contract must state how utilities and Condominium Association fees (Asociația de Proprietari) will be paid.

Subleasing and Pet Restrictions

Subleasing (Subînchirierea): Under Art. 1833 of the Civil Code, residential tenants may sublet or assign the lease ONLY with the prior written consent of the landlord. Unlike general commercial leases, for residential properties, subleasing is prohibited by default if the contract is silent on the matter.

Pet Restrictions (Animale de Companie): Landlords generally have the right to include clauses regarding pets. If a "No Pets" clause is breached, it may constitute a material breach of contract, though eviction for breaches during the term (reziliere) typically requires a court order unless specific forfeiture clauses (pact comisoriu) are correctly utilized.
