Why Use This Tool?
A real estate equity waterfall defines how cash flows and profits are distributed between Limited Partners (LPs) and General Partners (GPs) or sponsors. Unlike simple straight-line splits, waterfalls incentivize the GP to achieve higher returns by offering a disproportionate share of the upside (the promote) once specific Internal Rate of Return (IRR) hurdles are met.
This calculator models a standard three-tier European waterfall structure. The first tier typically represents a preferred return where LPs receive 100% of the distributions until they hit their target (e.g., an 8% IRR). Once this hurdle is cleared, subsequent cash flows are split based on the Tier 2 and Tier 3 structures (e.g., an 80/20 split until a 15% IRR, followed by a 50/50 split thereafter).
Accurately forecasting these distributions is critical for syndicators pitching deals to investors and for LPs evaluating the alignment of interests. By inputting the total distributable cash and the capital contributions, this tool approximates the total distributions and final Equity Multiple for both the LP and GP across the life of the project.
