Late payments in commercial leases (uso distinto del de vivienda) in the Basque Country are treated with significantly less leniency than in the residential sector. Landlords have the legal right to impose severe financial penalties and seek immediate lease termination.

1. Contractual vs. Statutory Interest Rates

Parties in a B2B lease in Euskadi are free to agree on their own late payment interest rates:

  • Contractual Priority: Most commercial leases specify a rate (e.g., 10% per annum) or a daily penalty fee. These are valid as long as they are not deemed "usurious" by a court.
  • Law 3/2004 (Default): If the contract does NOT specify an interest rate, the Ley de Morosidad applies. This rate is updated every six months and is calculated as the European Central Bank (BCE) interest rate plus 8 percentage points.

2. Fixed Recovery Costs (€40 Fee)

One of the most powerful tools for Basque landlords under Law 3/2004 is the right to a fixed recovery fee:

  • Statutory Entitlement: For every unpaid invoice or rent installment, the landlord is entitled to a fixed amount of €40 for collection costs, without needing to prove any actual expenses.
  • Automatic Application: This fee is due as soon as the rent becomes overdue (mora), and the tenant cannot contractually waive this right in advance.

3. The VAT Trap (Hacienda Foral)

Landlords in Bilbao, Vitoria, and San Sebastián must be aware of the strictness of the Basque Foral Treasuries:

  • Accrual Basis (Devengo): VAT (IVA) on commercial rent becomes due on the date the rent is supposed to be paid, regardless of whether the tenant actually pays it.
  • Out-of-Pocket Expense: If a tenant fails to pay rent for three months, the landlord must still pay the 21% VAT to Hacienda at the end of the quarter, effectively losing money on the property.
  • Bad Debt Recovery: To recover the VAT paid on unpaid rent, the landlord must follow a strict judicial or notary notification process within specified timeframes.
