Maintenance obligations for commercial properties in Catalonia are primarily governed by the Spanish Urban Leases Act (Ley 29/1994, de 24 de noviembre, de Arrendamientos Urbanos - LAU), which entered into force on 1 January 1995. While the LAU provides a default framework for repairs under Article 30 (incorporating Article 21), commercial leases (uso distinto del de vivienda) are fundamentally subject to the principle of freedom of contract established in Article 4.3, allowing landlords and tenants to specifically negotiate the allocation of maintenance responsibilities and costs.

The Legal Landscape of Catalonia

In the absence of specific contractual provisions, the LAU establishes a default regime for property conservation. Under Article 30, the law explicitly extends the application of Articles 21, 22, 23, and 26 to commercial leases.

According to the standards set in Article 21.1, the landlord is obligated to perform all repairs necessary to keep the property in a state suitable for the agreed commercial use, except for damage attributable to the tenant. Unlike residential leases, where maintenance rules are largely mandatory (normas imperativas), the maintenance clauses in a commercial lease are dispositive (dispositivas) due to the hierarchy established in Article 4.3. This means that a contract can legally shift the burden of structural repairs (obras de conservación) entirely to the tenant, a common practice in "Triple Net" (NNN) style commercial agreements.

Essential Guidelines for Landlords

To ensure compliance and protect your investment, landlords should adhere to the following statutory and procedural principles:

  1. Contractual Precedence: Always verify the specific maintenance clauses in the signed lease. Under Art. 4.3 of the LAU, the terms of the agreement take precedence over the default rules of the Act.
  2. Duty to Notify (Art. 21.3): The tenant has a statutory duty to inform the landlord as soon as possible of the need for repairs. Failure to do so may make the tenant liable for any resulting increase in damages.
  3. Urgent Repairs: If a repair is urgent to avoid imminent harm, the tenant may perform it after giving notice and claim reimbursement from the landlord (Art. 21.3 LAU).
  4. Small Repairs: By default, "small repairs" (pequeñas reparaciones) required due to normal wear and tear from ordinary use of the property are the tenant's responsibility (Art. 21.4 LAU).

Enforcement and Dispute Resolution

If a dispute arises regarding maintenance or repairs, the parties must refer to the Civil Procedure Act (Ley 1/2000, de 7 de enero, de Enjuiciamiento Civil - LEC). Most maintenance-related claims are handled through ordinary or verbal trials (juicio ordinario or juicio verbal) depending on the amount claimed, within the jurisdiction of the Juzgados de Primera Instancia (Civil Courts) of the locality where the property is situated.
