Repair Responsibility Agreements (Triple Net Clauses)
For corporate leases, while the generic regulations on fixing hidden structural defects apply subsidiarily, parties in Costa Rica have broad freedom to distribute risks autonomously, allowing for corporate schemes similar to those abroad.
The agreement known as integral commercial leases ("Net Leases"), where the main operational burden, repositioning costs, and maintenance of the entire premises (from facades to local taxes) are fully delegated to the tenant, is legal when properly contracted and commonly implemented without doctrinal objections.
Joint Condominium Obligations
If the commercial space is structurally inserted into a Condominium model under Costa Rican regulations, Common Area Maintenance (CAM) quotas or building fees are typically passed through based on the pro-rata commercial space agreed upon. The landlord remains subsidiarily tied to guaranteeing payment to the consortium.
